During his tenure as a partner in M/s Chetan and Gurunath,
Chartered Accountants, Kanathur had worked on a number
of assignments in the industry serving both Indian and
Overseas clients. |

heading its Virtual Asia Transaction Center in India. |

Chetan Venugopal

| Chetan is a Chartered Accountant. Adept in the avenues of Accounting,
Financial Management, Corporate Laws, Chetan has worked in the capacity of Vice-President,
Finance and Administration, for over four years at Netkraft
Private Limited, a leading IT services company based in
Bangalore. |
| During his tenure as VP at Netkraft,
Chetan helped raise two rounds of venture capital funding,
besides setting up the finance and administration departments
and streamlining processes at various overseas branches
and subsidiaries. Prior to his stint at Netkraft, he was
a partner in the eponymous CA firm, Chetan and Gurunath,
Chartered Accountants. |

James Grant

| James Grant is a founding partner of Grant Knauth LLP, a firm focused on supporting both clients and their external audit firms with technical accounting outsourcing services. Grant Knauth technical accounting services are currently focused on assisting clients with SEC filings, annual and quarterly filings on Form 10-K and 10-Q, internal controls documentation and testing in conjunction with Section 404 Sarbanes-Oxley compliance and preparations for initial public offerings. Clients include McAfee, Healthaxis, Parago, Craftmade, ElkCorp and Capstead, amongst others. |
| Prior to Grant Knauth, James was a Senior Manager in Ernst & Young's Emerging Growth Markets audit practice and served as the Venture Capital Advisory group leader in the Southwest area. Addtionally, James served as the CPA Connections Alliance leader in the Southwest, a national alliance he founded between E&Y and local CPA firms . During his more than a decade of service at Ernst & Young, James served clients ranging from American Airlines and AAFES to venture capital backed technology companies developing strong technical skills across all areas of GAAP. James has taken and passed the Certified Information Systems Association exam and has performed numerous computer general controls reviews and computer aided audit procedures. |

Chris Knauth

| Prior to Grant Knauth, Chris was Chief Financial Officer of Connext Inc., a Seattle, Washington based application service provider and software company specializing in billing applications for the energy industry. During his three years at Connext, Chris was responsible for all aspects of the Connext financial organization as well as leading the due diligence process which eventually lead to the successful sale of the Company to Alliance Data Systems, a Dallas based Company. Prior to Connext, Chris was Controller of Intactix International, an Irving, Texas based software development company. During his three years at Intactix, Chris was responsible for managing all financial activities of the Company, including significant foreign subsidiaries. Chris also performed various due diligence activities to facilitate multiple acquisitions as well as the eventual sale of Intactix to Pricer AB, a Swedish based OEM. Chris was with the Ernst & Young LLP Dallas office for four years prior to Intactix International, where he was within the Entrepreneurial Services Group, maintaining eight to ten Clients per year in the manufacturing, software and hardware industries. |
